Description
Anleihen nehmen in der Unternehmensfinanzierung kapitalmarktorientierter Gesellschaften eine zunehmend bedeutende Rolle ein. Den Anleihebedingungen kommt dabei die Aufgabe zu, die versprochene Leistung sowie die Rechte und Pflichten des Schuldners und der Gläubiger zu beschreiben. Abseits der aktienrechtlichen Satzungsstrenge genießen die Emittenten bei der Ausgestaltung der Anleihebedingungen weitgehende Gestaltungsfreiheit. Diese wird im Anschluss an das sogenannte Klöckner-Urteil des Bundesgerichtshofs (BGHZ 119, 305 ff.) durch die §§ 307 ff. BGB sowie - im Fall einer aktienähnlichen Ausgestaltung - durch aktienrechtliche Normen und Grundsätze beschränkt. Timo Fest nimmt die hiermit einhergehende Rechtsunsicherheit zum Anlass, bestehende Leitbilder herauszuarbeiten und einen Reformvorschlag zur Stärkung des Kapitalmarktstandorts Deutschland zu unterbreiten.
