De lege lata sehen sich insbesondere verbliebene Aktionäre mit immensen Beweisschwierigkeiten konfrontiert, so beim Nachweis der Veräußerungsbereitschaft zum Mindestpreis als zwingende Voraussetzung der Haftung des Bieters nach den Grundsätzen der c.i.c. Angesichts bestehender Rechtsschutzdefizite wird ein konkreter Reformvorschlag unterbreitet.
